By using our Service, you acknowledge that:

1. Agreement to Terms

By accessing or using EmployLawAI ("Service", "we", "us", or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Eligibility

  • You must be at least 18 years old to use the Service
  • You must provide accurate and complete registration information
  • You are responsible for maintaining the confidentiality of your account credentials
  • You agree to notify us immediately of any unauthorized use of your account

3. Service Description

3.1 What EmployLawAI IS:

  • A case research and organization tool
  • An AI-powered communication assistant for evidence analysis
  • A document management system for employment disputes
  • A pattern detection analytics platform
  • A preparation tool for eventual solicitor engagement

3.2 What EmployLawAI IS NOT:

  • ❌ A law firm or legal service
  • ❌ A provider of legal advice, representation, or counsel
  • ❌ A drafter of legal pleadings or tribunal submissions
  • ❌ A predictor of case outcomes or legal strategy
  • ❌ A guarantee of tribunal success

4. Subscription and Billing

4.1 Pricing Tiers

  • Free Tier: 5 AI credits (trial only, limited features)
  • Starter (£19/mo): 200 AI credits/month, no exports
  • Pro (£29/mo): 300 AI credits/month, PDF/DOCX exports
  • Collaboration (£49/mo): 500 AI credits/month, share with 3 users
  • Annual (£250/yr): Save £98, 6,000 AI credits/year

4.2 Payment Processing

  • Payments processed by Paddle (our Merchant of Record)
  • Subscriptions automatically renew unless canceled
  • Prices include VAT where applicable (UK customers)
  • Payment methods: Credit card, debit card (via Paddle)

4.3 Refund Policy

We offer a 14-day money-back guarantee in compliance with the Consumer Contracts Regulations 2013 (UK). To request a refund:

  • Contact us within 14 days of purchase
  • Email: support@employlaw.ai
  • Refunds processed within 5-7 business days
  • No refunds for used AI credits (fair usage applies)

4.4 AI Usage Overage

  • Once tier limit is reached, additional credits are £0.02 each
  • Overage charges billed monthly via Paddle
  • You can disable overage in Settings (hard stop at tier limit)

5. Acceptable Use Policy

5.1 Permitted Uses

You may use the Service to organize genuine employment dispute evidence for your own case.

5.2 Prohibited Uses

You agree NOT to:

  • ❌ Fabricate or alter evidence (this is perjury, a criminal offense)
  • ❌ Use the Service to harass, threaten, or intimidate others
  • ❌ Upload illegal content (e.g., child exploitation material, terrorist content)
  • ❌ Share your account credentials with others
  • ❌ Scrape, crawl, or automate access to the Service without permission
  • ❌ Use the Service for non-employment purposes (e.g., criminal cases, family law)
  • ❌ Reverse engineer, decompile, or attempt to extract source code
  • ❌ Resell or sublicense the Service

6. User Content and Intellectual Property

6.1 Your Content Ownership

  • You retain ownership of all documents and data you upload ("User Content")
  • You grant us a license to process User Content solely to provide the Service
  • This license terminates when you delete your account (subject to 90-day retention)

6.2 Your Warranties

By uploading User Content, you warrant that:

  • You have the right to upload the content (no copyright infringement)
  • The content is genuine and unaltered (no fabricated evidence)
  • The content does not violate any laws or third-party rights

6.3 Our Intellectual Property

  • We own all rights to the Service code, design, and trademarks
  • AI-generated outputs (structure) are our property, but content is yours
  • You may not copy, modify, or create derivative works of our Service

7. AI Processing and Accuracy

7.1 AI-Generated Content Disclaimer

AI-generated content (statement extraction, pattern detection, briefs) may contain errors, omissions, hallucinations, or inaccuracies.

  • You MUST review all AI outputs before relying on them
  • We provide confidence scores (0-100%) for AI extractions—verify low-confidence items
  • AI analysis is for informational purposes only, not legal advice

7.2 No Warranty of Accuracy

We make no warranty that AI-generated content is accurate, complete, or suitable for your case. Always verify with a qualified employment solicitor.

8. Data Protection and Privacy

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

UK Data Residency Commitment — 100% UK Hosted

We are committed to keeping your employment dispute data within UK jurisdiction. All data storage is exclusively on Civo Cloud in London:

  • Infrastructure: All application servers hosted on Civo Cloud, London data centre (LON1)
  • Database: SurrealDB running exclusively in Civo London — your case documents never leave the UK
  • File Storage: Civo Object Store (S3-compatible) in London — all uploaded documents, evidence files, and exports
  • Volumes: Civo Block Storage in London — all persistent data and database storage
  • Authentication: FusionAuth with PostgreSQL in Civo London — your login credentials stay in the UK
  • Backups: Retained within Civo London infrastructure

Note: Only our marketing website (static HTML/CSS/JS) is hosted on Cloudflare Pages. The marketing site stores no user data. All application data remains in the UK.

Key Points:

  • Your data is NEVER used to train AI models
  • You can export or delete your data anytime (Settings)
  • We comply with UK GDPR and Data Protection Act 2018
  • Multi-tenant isolation ensures your case data is completely separate from other users

9. Limitation of Liability

9.1 Service Provided "AS IS"

The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to:

  • Merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or reliability
  • Uninterrupted or error-free operation

9.2 Liability Cap

To the maximum extent permitted by law, our total liability to you for any claims arising from your use of the Service is limited to the amount you paid us in the 12 months preceding the claim.

9.3 Excluded Damages

We are NOT liable for:

  • Indirect, consequential, or punitive damages
  • Lost wages or employment tribunal losses
  • Damage caused by AI inaccuracies or errors
  • Service downtime or data loss (except in cases of gross negligence)
  • Actions taken by third parties (e.g., your employer, solicitors)

9.4 Consumer Rights Exception

Nothing in these Terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any other liability that cannot be excluded under UK law

10. Indemnification

You agree to indemnify and hold harmless EmployLawAI Ltd, its officers, directors, employees, and agents from any claims, damages, or expenses arising from:

  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • User Content you upload (e.g., copyright infringement, fabricated evidence)
  • Your use of AI-generated content without verification

11. Termination

11.1 Your Right to Cancel

  • You can cancel your subscription anytime (Settings → Billing)
  • Monthly plans: Cancel before next billing cycle to avoid charges
  • Annual plans: Cancellation effective at end of annual term (no prorated refund)

11.2 Our Right to Suspend

We may suspend or terminate your account immediately if:

  • You violate these Terms (especially Acceptable Use Policy)
  • We suspect fraudulent activity or abuse
  • Required by law (e.g., court order)
  • Payment fails after multiple attempts

11.3 Data Deletion After Termination

  • Canceled accounts: Data retained for 90 days, then permanently deleted
  • Suspended accounts: Data retained pending resolution
  • You can request immediate deletion by emailing support@employlaw.ai

12. Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of England and Wales.

12.2 Jurisdiction

Any disputes arising from these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.

12.3 Mediation Before Litigation

Before pursuing court action, we encourage mediation through a mutually agreed mediator to resolve disputes cost-effectively.

13. Changes to These Terms

  • We may update these Terms from time to time
  • Material changes will be notified via email 30 days in advance
  • Continued use of the Service after changes constitutes acceptance
  • If you disagree with changes, cancel your subscription before they take effect

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and EmployLawAI Ltd regarding the Service.

16. Early Access and Waitlist

If you join our waitlist or early access program:

  • We collect only your email address to notify you of launch updates
  • You may receive occasional product updates (you can unsubscribe anytime)
  • Early access users may receive beta features that are subject to change
  • Beta features are provided "as-is" with no warranty of availability or functionality
  • Early access pricing or credits may differ from general availability
